Terms of Service

These Terms of Service ("Terms") govern your use of the services provided by STK Media Production ("STK Media," "we," "us," or "our"), including our website at stkmedia.org, SMS services, and all related digital infrastructure and consulting services. By using our services, you agree to these Terms.

1. Services Overview

STK Media provides digital infrastructure, content management, and smart technology solutions for businesses. Our services include but are not limited to:

• Website creation and management
• Social media management and content production
• Email and newsletter marketing
• Operational command center systems
• SMS-based executive assistant services
• Business intelligence reporting and operational recaps

2. Account and Onboarding

To use our services, you must complete an onboarding process which includes providing your name, business information, phone number(s), and email address. You agree to:

• Provide accurate and complete information
• Keep your contact information up to date
• Maintain the confidentiality of any account credentials
• Notify us immediately of any unauthorized use of your account

3. SMS Services

By opting into our SMS services, you agree to the following:

• You consent to receive operational text messages, business recaps, updates, and assistant responses from STK Media at the phone number(s) you provide
• Message and data rates may apply depending on your mobile carrier and plan
• Message frequency varies based on your usage of the service
• You may opt out at any time by replying STOP to any message from us
• For assistance, reply HELP or contact nmoumit@stkmedia.org
• Consent to receive SMS messages is not a condition of purchasing any service
• We use Twilio as our SMS service provider. Messages are subject to Twilio's Terms of Service

4. Voice Memo Processing

When you send a voice memo to our SMS service:

• The audio is transcribed using third-party speech recognition technology
• The transcript is processed to generate a formatted summary or recap
• The recap is delivered to your designated email address
• Transcripts, summaries, and extracted key information are stored in your client account for continuity of service
• You retain ownership of the content of your voice memos and messages

5. Payment and Billing

• Services are billed on a monthly retainer basis as outlined in your service agreement
• Payments are processed through Stripe. By providing payment information, you agree to Stripe's Terms of Service
• Invoices are due upon receipt unless otherwise specified in your service agreement
• Late payments may result in suspension of services after 15 days notice
• You may cancel your subscription at any time with 30 days written notice

6. Acceptable Use

You agree not to use our services to:

• Send spam, unsolicited messages, or illegal content
• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use our services for any purpose that is fraudulent, deceptive, or harmful

7. Intellectual Property

• Content you provide to us (voice memos, text messages, business data) remains your property
• Websites, designs, and creative work produced by STK Media are owned by STK Media until full payment is received, at which point ownership transfers to you as specified in your service agreement
• Our proprietary systems, technology, processes, and branding remain the exclusive property of STK Media

8. Confidentiality

We treat all client communications, business data, and operational information as confidential. We will not disclose your information to third parties except as described in our Privacy Policy or as required by law.

9. Limitation of Liability

To the maximum extent permitted by law:

• STK Media's total liability for any claim arising from these Terms or our services shall not exceed the total amount paid by you in the three (3) months preceding the claim
• We are not liable for indirect, incidental, consequential, or punitive damages
• We are not liable for delays or failures in service delivery caused by third-party providers (Twilio, Stripe, cloud infrastructure, etc.)
• Our services are provided "as is" without warranties of any kind, express or implied

10. Disclaimer

STK Media provides digital infrastructure and business operations support. We do not provide financial advice, investment recommendations, tax guidance, legal counsel, or any services requiring professional licensure. Any information provided through our services is for operational and informational purposes only and should not be construed as professional advice.

11. Termination

• Either party may terminate the service agreement with 30 days written notice
• We may suspend or terminate your access immediately if you violate these Terms
• Upon termination, we will provide you with your data upon request within 30 days
• Outstanding balances remain due upon termination

12. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in Austin, Texas, under the rules of the American Arbitration Association. These Terms are governed by the laws of the State of Texas.

13. Changes to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of our services after changes constitutes acceptance of the updated Terms. We will notify active clients of material changes via email.
