Terms of Service — Version 2.1 — Austin, Texas — 2026
PLEASE READ THESE TERMS IN THEIR ENTIRETY BEFORE COMPLETING YOUR PURCHASE. BY CHECKING THE ACCEPTANCE BOX, YOU AGREE TO BE LEGALLY BOUND BY THIS AGREEMENT.
SECTION 1. PARTIES AND IDENTIFICATION
These Terms of Service (“Agreement”) are entered into between STK Media Production, a digital media production company organized under the laws of the State of Texas, with its principal place of business in Austin, Texas (“STK Media,” “we,” “us,” or “our”), and the individual or business entity completing this transaction (“Client,” “you,” or “your”). STK Media operates under All obligations and limitations in these Terms apply to and are binding upon both parties.
SECTION 2. SCOPE AND NATURE OF SERVICES
STK Media provides professional digital media production services exclusively, including: video production and editing, social media content creation, website design and development, brand strategy and identity design, email marketing setup and automation, AI-assisted media production, digital product creation, ROI tracking and analytics, and conversion rate optimization advisory. Specific deliverables, timelines, and compensation are defined at the point of purchase or in a separate project scope document. In the event of conflict between these Terms and a project scope document, these Terms govern on all matters of liability, warranty, and legal protection.
SECTION 3. CRITICAL DISCLAIMER — NOT FINANCIAL, LEGAL, OR SECURITIES SERVICES
STK Media is a digital media production company ONLY. STK Media is not a financial advisory firm, investment adviser, securities broker-dealer, insurance agency, tax consultancy, or legal services provider. No content, strategy, document, or communication produced by STK Media constitutes financial advice, investment advice, securities solicitation, or insurance recommendation. Carlton R. Orange’s professional licensure and fiduciary duties as a financial advisor operate exclusively through Capital Strategies, a separately regulated entity. STK Media and Capital Strategies are operationally independent with no shared legal obligations to clients. Client expressly waives any claim that STK Media provided financial guidance.
SECTION 4. NO REFUND POLICY & WEBSITE DELIVERY GUARANTEE
WEBSITE DELIVERY GUARANTEE: For all website build services, STK Media commits to delivering a completed Version 1 within 10 calendar days of receiving all required client assets and approvals. If STK Media fails to deliver Version 1 within 10 calendar days and the delay is solely attributable to STK Media (not caused by Client delays, missing assets, or incomplete approvals), Client is entitled to a 50% partial refund of the website build fee only. This guarantee applies exclusively to website build services and does not apply to subscription packages, media production, social media management, or any other service offering.
ALL OTHER PAYMENTS MADE TO STK MEDIA ARE STRICTLY NON-REFUNDABLE. “Commencement of services” includes any of the following: project onboarding, planning, client communication, research, creative development, content drafting, scripting, recording, editing, website construction, platform configuration, software integration, AI deployment, or any other preparatory or production activity. Once services have commenced, no refund, partial refund, credit, or reimbursement shall be issued. By submitting payment, Client confirms they have reviewed all deliverables and accept this no-refund policy. STK Media reserves the right to pursue full recovery of any disputed amounts including legal fees.
SECTION 5. LIMITATION OF LIABILITY
STK Media’s total aggregate liability for any and all claims shall not exceed the total dollar amount paid by Client for the specific service giving rise to the claim. STK Media shall not be liable for: lost revenue or profits, loss of data, reputational damage, third-party platform failures, indirect or consequential damages, or performance outcomes of content after delivery including engagement rates, lead conversion, or sales volume.
SECTION 6. INTELLECTUAL PROPERTY
Upon full payment, Client receives a limited, non-exclusive, non-transferable license to use specific deliverables for their own business purposes. STK Media retains exclusive ownership of all proprietary creative frameworks, production methodologies, AI architectures, automation workflows, internal tools, and system prompts. Unauthorized use of STK Media’s intellectual property will result in immediate termination and legal action.
SECTION 7. AI AGENT TRANSPARENCY AND CONSENT
STK Media actively utilizes AI tools in service delivery. Client consents to AI use in content creation, copywriting, image generation, video production, voice synthesis, data analysis, email automation, and workflow management. All AI-assisted deliverables are reviewed and supervised by qualified STK Media team members before delivery. AI tools used may include ElevenLabs, HeyGen, Higgsfield AI, Midjourney, CapCut AI, OpenAI tools, Anthropic tools, and other platforms. Inquiries may be directed to elite-ops@stkmedia.org.
SECTION 8. NO HIDDEN FEES AND PRICING TRANSPARENCY
The price displayed at the point of purchase represents the complete cost for the selected service or package. STK Media does not charge undisclosed setup fees, platform fees, or administrative fees. Any out-of-scope services will be quoted separately in writing and require Client’s explicit written approval before work commences or charges are applied.
SECTION 9. CLIENT RESPONSIBILITIES
Client agrees to: provide accurate and timely information, assets, and approvals; respond to communications within agreed timelines; ensure all submitted content is owned or properly licensed; and notify STK Media promptly of any material changes. Project delays caused by Client’s failure to provide required information do not entitle Client to a refund. STK Media reserves the right to invoice for idle time exceeding 30 calendar days caused by Client delays.
SECTION 9A. VIDEO PRODUCTION — EXTRACTION WORKSHEET & DRAFT POLICY
EXTRACTION WORKSHEET REQUIRED: All video production engagements require Client to complete a mandatory Video Extraction Worksheet before any production work begins. This worksheet captures brand voice, messaging goals, target audience, key talking points, tone, style references, and any required disclaimers. STK Media will not commence production until the worksheet is submitted and approved by both parties. Failure to provide complete and accurate information on the worksheet is the sole responsibility of the Client and does not entitle Client to additional drafts or a refund.
DRAFT LIMIT — TWO (2) DRAFTS MAXIMUM: Each video production project is allotted a maximum of two (2) draft reviews. Draft 1 is the initial cut delivered for Client review. Draft 2 is the final revision based on Client’s consolidated written feedback. After Draft 2 is delivered, the project is considered complete and final. Additional revision rounds beyond the two (2) draft limit are not included and will be quoted as a separate out-of-scope service. Client agrees to submit all feedback for each draft in a single consolidated written communication to elite-ops@stkmedia.org. Piecemeal, verbal, or informal feedback does not obligate STK Media to additional rounds of revision. By completing payment, Client acknowledges and agrees to the two (2) draft limit without exception.
SECTION 10. VOICE, IMAGE, AND LIKENESS RIGHTS
Client warrants full legal authority to authorize the use of any voice, image, or likeness submitted to STK Media. Client assumes full legal responsibility for ensuring all voice, image, and likeness rights have been properly secured. STK Media shall not be liable for any claim arising from Client’s unauthorized use of a third party’s voice, image, or likeness. Client agrees to fully indemnify STK Media from any such claim.
SECTION 11. CONTENT ACCURACY AND TESTIMONIAL LIABILITY
STK Media produces content based on information provided by Client and does not independently verify accuracy or compliance. Client warrants all data, statistics, testimonials, and factual assertions are accurate, truthful, and FTC-compliant. Client bears sole legal responsibility for all claims originating from Client-provided information. Client agrees to indemnify STK Media for any losses arising from inaccurate or non-compliant information.
SECTION 12. REGULATORY COMPLIANCE
Client is solely responsible for ensuring all content produced by STK Media complies with all applicable laws, regulations, and platform policies governing Client’s specific industry, including real estate, financial, healthcare, food and beverage, legal, and any other applicable regulatory framework. STK Media strongly recommends Client engage qualified legal counsel to review content for regulatory compliance prior to publication. STK Media bears no liability for regulatory violations arising from Client’s failure to ensure compliance.
SECTION 13. THIRD-PARTY TALENT RELEASE
Client assumes full responsibility for obtaining all necessary talent releases and consent forms prior to production. Client warrants all appearing individuals have provided informed written consent and all required compensation obligations have been fulfilled. STK Media shall not be liable for any claim brought by a third-party individual arising from their appearance in content produced under this engagement.
SECTION 14. CONFIDENTIALITY
STK Media agrees to keep all Client business information strictly confidential. Client agrees to keep all STK Media proprietary systems, workflows, AI architectures, system prompts, operational SOPs, pricing structures, and business methodologies strictly confidential and not share them with any third party. These obligations survive termination for three (3) years. Breach may result in immediate legal action including injunctive relief.
SECTION 15. FORCE MAJEURE
STK Media shall not be liable for delays caused by third-party platform outages, AI platform policy changes, natural disasters, government actions, widespread internet failures, or loss of key personnel due to circumstances beyond STK Media’s control. STK Media will notify Client promptly and make commercially reasonable efforts to resume services. Refunds will not be issued for work already commenced under force majeure circumstances.
SECTION 16. NON-DISPARAGEMENT
During any active dispute, Client agrees to refrain from publishing any negative review, complaint, or public statement about STK Media until the dispute resolution process in Section 19 has been fully exhausted. This applies across all platforms including Google, Yelp, Facebook, Instagram, TikTok, X, LinkedIn, Reddit, and YouTube. STK Media reserves the right to pursue legal remedies for violations, including injunctive relief and damages.
SECTION 17. AUTHORIZED COMMUNICATIONS PROTOCOL
All project change requests, scope modifications, and revision instructions must be submitted in writing via email to elite-ops@stkmedia.org to be binding. STK Media is not obligated to act on verbal instructions, voice memos, DMs, text messages, or other informal communications. Informal channels including Instagram DMs, WhatsApp messages, phone calls, and in-person conversations do not constitute binding project instructions.
SECTION 18. INDEMNIFICATION
Client agrees to indemnify, defend, and hold harmless STK Media, its founder, officers, employees, contractors, and agents from all claims arising out of: Client’s use or misuse of any deliverable, Client’s business operations, Client’s breach of this Agreement, intellectual property infringement by Client-provided materials, regulatory violations in Client’s industry, unauthorized use of third-party voice or likeness, and inaccurate information submitted for content production.
SECTION 19. GOVERNING LAW AND DISPUTE RESOLUTION
This Agreement is governed by the laws of the State of Texas. All disputes shall first attempt resolution through good-faith negotiation for 30 days, followed by binding mediation in Travis County, Texas. Any litigation shall be filed exclusively in Travis County courts. The prevailing party is entitled to recover reasonable attorneys’ fees. Client waives any objection to jurisdiction or venue in Travis County.
SECTION 20. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties and supersedes all prior communications and proposals. If any provision is found unenforceable, it shall be modified to the minimum extent necessary and remaining provisions shall continue in full force. This Agreement may only be modified in writing signed by an authorized STK Media representative.
SECTION 21. AMENDMENTS
STK Media reserves the right to update these Terms at any time. Updated versions will be posted at the point of purchase and communicated via email to active clients. The version in effect at the time of Client’s purchase governs that engagement. Continued engagement following notice of amendment constitutes acceptance of revised terms for all subsequent engagements.
